Content Kitchen Video Editing Packages Terms & Conditions
By purchasing any video editing package from Content Kitchen L.L.C-F.Z ("Content Kitchen", "we", "us", or "Service Provider"), you ("Client") agree to the following Terms & Conditions.
1. Scope of Services
The selected package includes the services, deliverables, editing credits, turnaround times, support level, and features outlined on the package page at the time of purchase.
Services may include, but are not limited to:
- Short-form video editing
- Long-form video editing
- Revisions
- Priority delivery
- Project management support
- Quality assurance review
- Dedicated editing resources
- Delivery of project files and linked assets (where applicable)
Specific package inclusions vary by package and are displayed on the package sales page.
2. Package Duration & Validity
- Each package remains valid for the duration specified on the package page.
- All editing requests and content submissions must be made within the package validity period.
- Any grace period offered by Content Kitchen will be communicated within the package details.
- Unused edits, credits, or deliverables may expire after the package validity period and any applicable grace period.
3. Workflow & Delivery
- Delivery follows Content Kitchen's workflow and production system.
- Turnaround times begin only after all required assets have been received.
- Instructions must be clear and complete.
- All necessary information must be provided by the Client.
Where applicable, deliverables may include:
- Final exported video files
- Project files
- Linked assets
Files will be delivered through the Client's designated delivery channel, folder, or workspace.
4. Revisions Policy
Unlimited revisions are included where explicitly stated in the purchased package.
Revisions within scope include:
- Styling adjustments
- Pacing changes
- Caption updates
- Formatting adjustments
- Minor to moderate refinements aligned with the original brief
Out-of-scope revisions may include:
- New creative concepts
- Major direction changes
- Significant restructuring of approved work
- Requests substantially different from the original brief
Out-of-scope revisions may be treated as new editing requests, consume additional editing credits, or require additional fees.
Any scope disputes will be reviewed reasonably by both parties and resolved through mutual agreement.
Reasonable feedback cycles are expected, and approval may not be unreasonably withheld.
5. Pricing & Payment Terms
- Package pricing is displayed on the package sales page.
- All payments are made in USD unless otherwise stated.
- Payment is required upfront unless otherwise agreed in writing.
- Work will commence only after payment has been successfully received.
- Fees are non-refundable except where expressly stated within these Terms & Conditions.
6. Team Structure & Support
Depending on the package selected, the Client may receive access to:
- Assigned editors
- Internal quality assurance support
- Project management support
- Dedicated account support
Content Kitchen remains responsible for:
- Quality control
- Workflow management
- Communication consistency
- Internal resource allocation
7. Quality Standards
- All deliverables will meet professional editing standards consistent with agreed references and instructions.
- Only deliverables that meet agreed quality standards will count toward used editing credits.
- If a deliverable does not meet agreed standards, it will be revised or reworked accordingly.
- A deliverable is only considered completed once approved.
Quality expectations are based on:
- Initial references
- Client instructions
- Previously approved work
- Industry-standard editing practices
8. Turnaround Accountability
- Turnaround times vary by package and are displayed on the package sales page.
- Content Kitchen will make reasonable efforts to meet stated turnaround commitments.
- Delays caused by missing assets, incomplete instructions, delayed feedback, client-side delays, or force majeure events are not considered a breach of service.
9. Intellectual Property & File Ownership
Upon full payment:
- The Client owns all final approved deliverables.
- Content Kitchen retains ownership of proprietary workflows, processes, templates, systems, and methodologies.
Content Kitchen reserves the right to showcase completed work in its portfolio, marketing materials, website, and social media channels unless otherwise agreed in writing.
Project files, source files, and linked assets will be delivered according to the package purchased.
10. Licensed Assets & Copyright
Third-party assets may include:
- Music
- Sound effects
- Motion graphics
- Templates
- Stock footage
Such assets will be sourced from properly licensed commercial providers. Licensing will cover usage as permitted under the respective provider's license terms.
The Client is responsible for ensuring that all content, assets, logos, trademarks, footage, and materials supplied to Content Kitchen are properly licensed and authorized for use.
Content Kitchen shall not be liable for copyright claims arising from Client-supplied content.
11. Termination
Valid cause includes:
- Material breach of these Terms
- Repeated failure to meet agreed obligations
- Non-payment
- Violation of agreed terms
Termination for convenience, change of mind, internal business decisions, or lack of usage is not permitted unless mutually agreed in writing.
In the event of valid termination:
- All completed work will be delivered to the Client.
- Any refund or credit will be calculated based on the unused portion of the package.
- Completed or in-progress work will be considered used and billable.
12. Non-Solicitation
During the engagement and for six (6) months following termination, both parties agree not to directly solicit, hire, contract, or engage personnel, contractors, team members, or clients introduced through this business relationship without prior written consent.
13. Client Responsibilities
- Provide clear instructions and briefs.
- Supply all necessary assets and materials.
- Ensure all supplied content is legally owned or licensed.
- Respond to requests and feedback in a timely manner.
- Maintain reasonable communication throughout the project.
Content Kitchen shall not be responsible for delays caused by the Client's failure to meet these obligations.
14. Confidentiality
Both parties agree to maintain strict confidentiality regarding:
- Content
- Data
- Internal processes
- Business information
- Client information
- Proprietary materials
Confidential information may not be disclosed to third parties without written consent except where required by law.
15. Limitation of Liability
To the maximum extent permitted by law, Content Kitchen's total liability under any claim shall not exceed the amount paid by the Client for the purchased package.
Content Kitchen shall not be liable for indirect, incidental, special, consequential, or lost-profit damages.
16. General Terms
- These Terms & Conditions constitute the entire agreement between the parties.
- Any modifications must be agreed to in writing.
- If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
- Failure to enforce any provision shall not constitute a waiver of that provision.
17. Acceptance
By purchasing any Content Kitchen package, the Client acknowledges that they have read, understood, and agreed to these Terms & Conditions.
